Shade Man wasn't made by Wily, his stage was a park attraction that Wily took over and Shade Man was a stolen prop from that attraction, as an Easter egg it has the Ghost n Goblins theme if you press a button when you select him, so he'd surely host a Halloween party and invite Rock over without Wily-induced programming. Cut Man is just being mean with Wily programming. Also his cameo in MM7 intro screen.
